According to the relevant provisions of the Company Law and the Articles of Association, the 12th meeting of the first board of directors of the company reviewed and approved on June 21, 2018:

1. Appoint Xu Bin as a director of the company and dismiss Mr. Zhang Yongdong from his position as a director. His term of office shall be from the date of approval by the current shareholders' meeting until the expiration of the current board of directors.

2. Appoint Miao Zongpo as a director of the company and dismiss Mr. Li Dinglong from his position as a director. His term of office shall commence from the date of approval by the shareholders' meeting and end upon the expiration of the current board of directors.

The newly appointed directors of the company, Xu Bin, Miao Zongpo, and Zhang Jinlong, hold 0 shares of the company, accounting for 0.00% of the company's shares. According to the list of dishonest individuals published on platforms such as "Credit China" and "Securities and Futures Market Dishonest Record Query Platform", the newly appointed directors mentioned above do not belong to the joint punishment objects for dishonesty in the "Regulatory Q&A on the Implementation of Joint Disciplinary Measures for Dishonest Entities".

（3） Reasons for appointment/dismissal
According to the letter from the controlling shareholder recommending the property rights representative of Wancho Environmental Protection Co., Ltd., and taking into account the current members of the board of directors, the above appointment and removal have been decided.
