According to the relevant provisions of the Company Law and the Articles of Association, the 9th meeting of the first board of directors of the company approved on January 11, 2018:

1. Appoint Mr. Bian Zhiming as the General Manager of the company, with a term of office starting from the date of approval by the current board of directors and ending upon the expiration of the current board of directors.

2. Appoint Ms. Ding Yunyun as the Deputy General Manager and Chief Financial Officer of the company, with a term of office starting from the date of approval by the current board of directors and ending upon the expiration of the current board of directors.

Five days prior to the convening of this meeting, all directors shall be notified in writing that a total of five directors were required to attend the board meeting, five directors actually attended the meeting, and zero directors were absent from the meeting. The meeting was chaired by Mr. Zhang Yongdong, the chairman.

2. Ms. Ding Yunyun holds 0 shares of the company, accounting for 0.00% of the total share capital. As of the date of this announcement, Mr. Bian Zhiming is not subject to joint disciplinary action for dishonesty.

（3） Reasons for appointment/removal/dismissal

1. Mr. Li Jinbin, former director and general manager of the company, resigned from his position as general manager due to personal reasons (still serving as a director), and therefore appointed Mr. Bian Zhiming as the new general manager of the company.

2. Ms. Chen Yan, former director, deputy general manager, and financial director of the company, resigned from her positions as deputy general manager and financial director due to personal reasons (still serving as a director). Therefore, Ms. Ding Yunyun is appointed as the new deputy general manager and financial director of the company.

2、 The impact of the appointment and removal of the above-mentioned personnel on the company
